1. Acceptance of Terms

By accessing, browsing, or using UtilixAI, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not accept these terms in their entirety, you must not use the service.

These Terms apply to all users worldwide. Where you are located in the European Union (EU), European Economic Area (EEA), or the United Kingdom (UK), additional consumer protection rights may apply as outlined in the relevant sections below.

2. Service Description

UtilixAI is a suite of AI-powered document tools provided by Pepperose LTD. The service enables users to work with documents through a range of intelligent features, including but not limited to AI-assisted analysis, conversion, formatting, summarization, and other document processing capabilities.

UtilixAI is delivered as a web-based digital service. We reserve the right to update, modify, or discontinue any features, content, or functionality of the service at any time without prior notice, provided that such changes do not materially reduce the core functionality you purchased access to.

3. Eligibility

You must be at least 18 years of age to use UtilixAI. By purchasing and using the service, you represent and warrant that you are 18 years or older and have the legal capacity to enter into a binding agreement. If you are under 18, you may only use UtilixAI with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

4. Pricing & One-Time Purchase

UtilixAI is offered exclusively as a one-time purchase for $19.99 (USD).

4.2 No Recurring Charges

UtilixAI does not operate on a subscription model. You will never be charged again after your initial purchase of $19.99. There are no monthly fees, annual fees, hidden charges, or automatic renewals of any kind. Your one-time payment is all that is required to use the service indefinitely.

4.3 Price Changes

Pepperose LTD reserves the right to change the purchase price at any time with prior notice. Any price change will apply only to new purchases and will not affect users who have already completed their one-time payment.

5. Payment

• UtilixAI accepts payment via credit cards, debit cards, Apple Pay, and Google Pay.
• Payment is charged once at the time of purchase. You will not be billed again.
• All payment processing is handled by PCI-DSS compliant third-party payment processors. Pepperose LTD does not store your full credit card number, CVV, or other sensitive payment credentials on its servers.
• We may perform a pre-authorization (pre-auth) on your payment method to verify its validity before your purchase is completed. Pre-authorization holds are temporary and will be released if the transaction is not finalized.
• While the listed price is in USD ($), the amount charged may be displayed or converted to your local currency by your payment provider. Exchange rates, local taxes, and third-party processing fees are outside the control of Pepperose LTD.
• Payments are non-refundable except as required by applicable law or as described in our Refund Policy.

6. Digital Content & Right of Withdrawal

6.1 Nature of the Service

UtilixAI is a digital service. Upon completing your one-time purchase, you gain immediate access to the full platform. As this is a one-time purchase and not a subscription, there is no cancellation process -- your access is permanent from the moment of purchase.

6.2 EU/EEA Right of Withdrawal

If you are a consumer residing in the EU or EEA, you have the right to withdraw from your purchase within 14 days under the EU Consumer Rights Directive (2011/83/EU), without providing any reason.

Important exception: By using UtilixAI after purchase (for example, by logging in and accessing any tools or processing any documents), you expressly acknowledge that the digital service has begun and you consent to the loss of your right of withdrawal. Once you begin using the service, you forfeit your 14-day withdrawal right.

If you have not used the service and wish to exercise your right of withdrawal, please contact us within 14 days of purchase at help@utilixai.com with your name, email address, and purchase date. Eligible refunds will be processed within 14 days.

7. Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials, including your email address and password.
• You are responsible for all activity that occurs under your account, whether authorized by you or not.
• You must notify us immediately at help@utilixai.com if you suspect unauthorized access to or use of your account.
• Sharing your account credentials with others is prohibited and may result in suspension or termination of your access.
• Pepperose LTD shall not be liable for any loss or damage arising from your failure to safeguard your account information.

8. Intellectual Property

All content, software, designs, graphics, text, code, user interface elements, trademarks, logos, and documentation made available through UtilixAI are the exclusive property of Pepperose LTD or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Your one-time purchase grants you a personal, non-exclusive, non-transferable, revocable license to use UtilixAI for its intended purpose. You may not copy, reproduce, modify, reverse engineer, decompile, disassemble, distribute, sublicense, lease, sell, or create derivative works from any part of the service without prior written consent from Pepperose LTD.

Documents you upload or create using UtilixAI remain your property. We do not claim ownership over your content.

9. Acceptable Use

You agree not to use UtilixAI to:

• Upload, process, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Violate any applicable local, national, or international law or regulation.
• Infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Attempt to gain unauthorized access to any part of the service, other user accounts, or any systems or networks connected to UtilixAI.
• Interfere with or disrupt the service, servers, or networks connected to UtilixAI, including through the use of viruses, bots, or automated scripts.
• Use the service for any commercial purpose beyond your personal or internal business use without prior written authorization.
• Resell, redistribute, or provide access to the service to third parties.

Pepperose LTD reserves the right to suspend or terminate your account immediately, without notice or refund, if you violate any of these acceptable use terms.

10. Limitation of Liability

UtilixAI is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Pepperose LTD disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We are not liable for any loss of data, corruption of documents, or damage to your devices arising from the use of the service.

To the maximum extent permitted by law, the total aggregate liability of Pepperose LTD for any and all claims arising out of or relating to your use of UtilixAI shall not exceed the amount you paid for the service -- that is, $19.99.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

EU, EEA & UK Consumers: This choice of governing law does not deprive you of the protection afforded by mandatory consumer protection laws in your country of residence. You retain the right to bring claims in your local courts as permitted by applicable law. If you are an EU consumer, you may also access the European Commission Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

12. Company Information

We aim to respond to all email inquiries within 24 hours. Phone support is available during regular business hours (GMT).

13. Changes to These Terms

Pepperose LTD reserves the right to modify, update, or replace these Terms & Conditions at any time. Updated versions will be posted on our website with the revised effective date. Where required by law, we will notify you of material changes via email or through a prominent notice on the service.

Your continued use of UtilixAI after any changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the service.
